Terms of Service

1. About these Terms

These Terms of Service (the “Terms”) form a binding legal agreement between you and GMS LTD, a company registered in the Republic of Cyprus with registered office at Lykavitou 25, Egkomi 2401, Cyprus (“GMS LTD,” “we,” “our,” “us”), the operator of the website DMC.travel (the “Platform”).

By accessing or using the Platform you accept these Terms in full. If you do not accept them, you must stop using the Platform.

These Terms include our acceptable use rules (Section 7) and our general disclaimer (Section 8).

2. The Platform: what we are and what we are not

DMC.travel is an aggregated business directory and matching service for Destination Management Companies (“DMCs”) and related travel-services providers. We compile information about DMCs from publicly available sources, partner referrals and direct submissions by the DMCs themselves, and we present this information so that potential clients can discover and contact those companies.

To prevent any ambiguity, the following statements are essential to the bargain between you and us. By using the Platform you acknowledge that:

  • We are not a travel agency, tour operator, DMC, event organizer, or transport provider.
  • We are not the agent, representative, employee or partner of any listed company unless we explicitly state otherwise on the listing itself.
  • We do not sell, resell, supply, or organize travel services. Any contract for travel services is exclusively between you and the listed company you choose to engage.
  • We do not certify, vet, audit, license, accredit, rank, score, or rate the companies in the directory unless we explicitly state otherwise on the listing itself.
  • We do not guarantee the accuracy, completeness, or timeliness of any information shown on the Platform. Information about a listed company may have been compiled from public sources and may be incomplete, outdated, or incorrect.

3. Eligibility

  • You must be at least eighteen (18) years old to use the Platform.
  • You must have the legal capacity to enter into binding contracts.
  • You must not be barred from receiving services under the laws of your country of residence or any country where you operate.
  • If you act on behalf of a company or other legal entity, you warrant that you have authority to bind that entity to these Terms.

4. Listings and listed companies

4.1 Source of listings

Listings are compiled from publicly available sources, partner referrals, and direct submissions through the “List your company” form. We may add, edit, reformat, group, decline, suspend or remove a listing at our sole discretion.

4.2 Information accuracy

We make commercially reasonable efforts to ensure that listings are accurate, but we make no representation or warranty of any kind, express or implied, regarding the accuracy, completeness, or currentness of listing information. Users are responsible for independently verifying any information they intend to rely on.

4.3 Submitting and maintaining a listing

If you submit a listing for your own company, or claim or maintain a listing as an authorized representative of the company, you represent and warrant that:

  • You are duly authorized to act on behalf of the company.
  • All information you submit is accurate, current, and complete to the best of your knowledge.
  • You hold all necessary permits, licenses, certifications, and authorizations required by law to operate the business as described.
  • You will keep the listing accurate and up to date for as long as it remains published.
  • You have all rights in any text, images, logos, video or other materials you submit, including the right to grant the license described in Section 6.2.

4.4 Listing removal

Listed companies may at any time request correction or removal of their listing in accordance with the procedure on our Listing Removal page. We will action such requests within thirty (30) days of receipt and verification.

5. Inquiries, matching, and contact between users and listed companies

When you submit an inquiry or a matching request through the Platform, you agree that we may forward the inquiry to one or more DMCs we consider relevant. We do not guarantee that any DMC will respond, accept your request, be able to deliver the requested services, or offer competitive pricing. Any contract that arises is exclusively between you and the DMC. We are not a party to that contract, even if we facilitated the introduction.

6. Intellectual property

6.1 Our intellectual property

The Platform, including its software, design, layout, structure, taxonomy, country and city categorization, original editorial content, and the compilation and arrangement of listings (which constitutes a database protected by copyright and the European Database Directive sui generis right), is owned by GMS LTD or licensed to us. You may not, without our prior written authorization:

  • Copy, scrape, reproduce, distribute, modify, publish, sell, license, or create derivative works of the Platform or a substantial part of it.
  • Use any robot, spider, scraper, or other automated means to extract data from the Platform.
  • Circumvent, disable or interfere with security or access controls.
  • Reverse-engineer or attempt to derive source code from any part of the Platform.

6.2 User-submitted content

You retain ownership of materials you submit to the Platform (text, images, logos, descriptions). By submitting them you grant GMS LTD a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, format, translate, adapt and distribute that content for the purpose of operating and promoting the Platform, for as long as the content is published. The license terminates when the content is removed, save that we may keep technical backup copies for a reasonable period.

6.3 Third-party trademarks

Listings include the names, logos and trademarks of the listed companies for the purpose of identifying them. Such use is descriptive and nominative and does not imply any affiliation, sponsorship or endorsement. Trademarks remain the property of their respective owners.

6.4 Notice and takedown

If you believe that material on the Platform infringes your copyright, trademark, or other intellectual property right, you may submit a takedown notice as described on our Listing Removal page. We follow a notice-and-counter-notice procedure consistent with the U.S. Digital Millennium Copyright Act and the EU Digital Services Act.

7. Acceptable use

This Section sets out activities that are not allowed on the Platform. Breach of this Section is a breach of these Terms and may result in suspension or termination of access, removal of listings, and where appropriate, civil or criminal legal action.

7.1 Content rules

  • Do not submit content that is unlawful, defamatory, obscene, hateful, harassing, threatening, or that infringes the rights of any person.
  • Do not submit content that contains malware, exploits, or links to phishing or similarly harmful resources.
  • Do not impersonate any person, company, or organization, or misrepresent an affiliation.
  • Do not submit fake reviews, fake inquiries, fake matching requests, or fake testimonials.
  • Do not manipulate ranking, visibility, or search behavior through deceptive techniques.

7.2 Use of the Platform

  • Do not use the Platform in violation of any applicable law, including export controls, sanctions, anti-money-laundering and consumer-protection law.
  • Do not use the Platform to send unsolicited commercial communications (spam) to users or listed companies.
  • Do not use the Platform to harvest personal data, business contact lists, or any other content for use outside the Platform without express written authorization.
  • Do not probe, scan or test the security of the Platform without prior written authorization.
  • Do not bypass or attempt to bypass any access control, rate limit or authentication mechanism.

7.3 Automated access

  • Do not use any robot, spider, scraper, headless browser, or similar automated means to access the Platform, except for well-behaved search-engine crawlers obeying our robots.txt.
  • Do not reproduce or reuse a substantial part of the directory database, regardless of whether the reuse is commercial or non-commercial. Such reuse is also prohibited by the EU Database Directive sui generis right and equivalent rights in other jurisdictions.
  • Do not submit content or make requests at a volume or frequency that is not consistent with normal human use of a website.

7.4 Account and listing integrity

  • Do not create multiple accounts to evade enforcement, manipulate reviews, or game any feature of the Platform.
  • Do not share account credentials with third parties or transfer an account or listing without our authorization.
  • Do not submit a listing for a business you are not authorized to represent.
  • Do not submit a listing for an entity that does not actually offer the services described.

7.5 Reporting abuse

If you encounter a violation of this Section, please report it to abuse@dmc.travel with as much detail as possible (URLs, screenshots, dates and times, and how you became aware of the issue). We will review every credible report and act where appropriate.

8. General disclaimer

8.1 Information accuracy

The information shown on the Platform, including listings, descriptions, addresses, contact details, languages, services, photos and any other content, has been compiled from publicly available sources, partner referrals and direct submissions by the listed companies. This information may be incomplete, outdated, or incorrect. You should independently verify any information before relying on it.

8.2 No professional advice

Content on the Platform is provided for general informational purposes only. It does not constitute legal, tax, financial, immigration, insurance, medical, or any other professional advice. For any decision that requires professional advice, you should consult a qualified professional licensed in the relevant jurisdiction.

8.3 No endorsement

The presence of a company in the directory does not imply that we endorse, certify, recommend, vet, audit, accredit, license, rank or rate that company. Position in any listing or category does not reflect quality, ranking or merit unless we explicitly state otherwise on the listing itself.

8.4 No agency relationship

We are not the agent, representative, partner, employee, broker or franchisee of any listed company. We are not a travel agent, tour operator, DMC, transport provider or insurer. Contracts for the supply of travel or event services are concluded exclusively between you and the listed company; we are not a party to those contracts even if we facilitated the introduction.

8.5 Third-party links

The Platform contains links to websites, social-media profiles, mapping services and other resources operated by third parties. We do not control these third-party resources, do not adopt their content, and do not warrant their accuracy, security, or availability. Following an external link is at your own risk.

8.6 Forward-looking statements

Any statement on the Platform about future events, market conditions, demand, prices, or business outlook is forward-looking and inherently uncertain. We make no warranty that any forecast, projection or estimate will prove accurate.

9. Disclaimer of warranties

THE PLATFORM AND ALL CONTENT, INCLUDING LISTINGS AND ANY MATCHES OR INTRODUCTIONS, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GMS LTD DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, AND THAT THE PLATFORM OR ANY COMMUNICATIONS WILL BE UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO WARRANTY THAT ANY LISTED COMPANY WILL DELIVER ANY SERVICE, WILL DELIVER A SERVICE TO ANY PARTICULAR STANDARD, WILL HOLD ANY LICENSE OR INSURANCE, OR WILL BE COMMERCIALLY VIABLE OR FINANCIALLY SOLVENT. USERS ARE RESPONSIBLE FOR THEIR OWN DUE DILIGENCE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GMS LTD AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND SUPPLIERS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES.
  • LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA.
  • LOSSES ARISING FROM YOUR DEALINGS WITH ANY LISTED COMPANY, INCLUDING PERFORMANCE OR NON-PERFORMANCE OF TRAVEL OR EVENT SERVICES.
  • LOSSES ARISING FROM RELIANCE ON LISTING INFORMATION OR ANY OTHER CONTENT ON THE PLATFORM.
  • LOSSES CAUSED BY EVENTS BEYOND OUR REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, WAR, TERRORISM, CIVIL UNREST, PANDEMIC, STRIKES, FAILURES OF TELECOMMUNICATIONS OR HOSTING PROVIDERS, AND CHANGES IN LAW.

OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, IN CONTRACT, TORT OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED EURO (€100), WHICHEVER IS HIGHER.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for any consumer-protection rights that the law provides on a non-waivable basis.

11. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless GMS LTD, its affiliates, and their respective directors, officers, employees, agents, and suppliers from and against any claim, demand, damage, loss, liability, cost, or expense (including reasonable legal fees) arising out of or relating to:

  • Your use or misuse of the Platform.
  • Your breach of these Terms.
  • Your violation of any law or any right of a third party.
  • Any content you submit to the Platform.
  • Any dispute between you and a listed company or any other user.

12. Suspension and termination

We may suspend or terminate your access to the Platform, or remove a listing, at any time and at our sole discretion if we reasonably believe you have breached these Terms, if required to do so by law, or to protect the safety, rights or property of any person. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution) shall survive.

13. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them are governed by the laws of the Republic of Cyprus, without regard to conflict-of-laws rules. Subject to Section 14 (where applicable), the courts of Nicosia, Cyprus, shall have exclusive jurisdiction, and you and we both submit to that jurisdiction. Nothing in this Section deprives a consumer of the protection afforded by mandatory consumer-protection rules of the country of the consumer’s habitual residence.

14. Arbitration and class-action waiver (U.S. residents only)

This Section 14 applies if you are a resident of the United States. By using the Platform you and GMS LTD agree that any dispute, claim or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally within sixty (60) days of written notice shall be resolved exclusively by final and binding arbitration administered by JAMS under its applicable rules, conducted in English, with the seat of arbitration in New York, New York. The arbitrator may not consolidate more than one person’s claims and may not preside over any class or representative proceeding. You and GMS LTD each waive any right to participate in a class action, class arbitration, or representative proceeding. If a court of competent jurisdiction finds this class-action waiver unenforceable, the entire arbitration agreement shall be null and void as between you and us, but the remainder of these Terms shall continue in full effect.

You may opt out of this arbitration agreement by sending written notice to legal@dmc.travel within thirty (30) days of first acceptance of these Terms, stating your full name, address, and an unambiguous statement that you wish to opt out.

15. Changes to the Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent version. Material changes will be announced through a banner on the website and, where appropriate, by email. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

16. Miscellaneous

  • Severability. If any provision is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. A failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition or sale of substantially all assets.
  • Entire agreement. These Terms, together with the Privacy Policy and the Listing Removal & IP Takedown page, constitute the entire agreement between you and us regarding the Platform.
  • Language. The English-language version of these Terms is the controlling version.
